Description

The House of Entrepreneurship and the House of Training offer you a training cycle in 4 evenings to go further in the takeover of a business. This cycle will cover more the practical aspects of the recovery through pragmatic scenarios in which the participants will be able to evolve.

Goals :

This 4-session training will aim to answer the pragmatic questions that buyers have when they are convinced that the takeover is for them or even when they have identified the business they want to take over.

In a minimum of time, you will have in hand the key elements that will allow you to move forward in your concrete project! Each module is led by a practical trainer, complemented by contributions from transmission professionals and testimonials from people who have taken over a company.

Taking over a business is a long and complex process that should not be underestimated. Through advice and concrete elements, the training will allow you to be operational to take over a business and will help you to ask yourself questions from the start; which will allow you to save precious time.

Program :

Module 1 - Practical workshop on the legal aspects of takeover
In this workshop, you will have the opportunity to go through the key clauses of the various contracts for preparing and carrying out a business takeover and to discuss the specific points that could be blocking or that are usually problematic.

During this practical writing exercise workshop, you will discover how to prepare well for the takeover by legally protecting yourself through the use of contractual techniques (non-competition clauses, seller guarantees, etc.).

The workshop will also aim to present a simulation of the legal and practical operations of the day of the completion of the takeover in its most concrete aspects (payment of the price, exchange of guarantees, modification of the articles of association, change of directors, etc.) and in order to avoid the most frequent pitfalls for buyers at the time of completion and in the post-acquisition period.

Module 2 - Reinventing management - Energizing the leader's leadership
When you have taken over the target company, you will have to take your place within the company in order to make the strategy stick to your affinities and ambitions, all gently, by affirming your management and leadership style and by engaging the team at your side. You will also need to keep as many existing customers as possible and develop your own customer base, and in some cases adjust or strengthen your offering. You will of course also have to master the elements ensuring your profitability. In this module, you will explore all these points and their interconnections to prepare for your successes of tomorrow.

Module 3 - Practical case of valuation
Through this module, you will be able to browse one or more practical cases of takeover files in order to better understand the information submitted by the transferor and at the same time to verify certain information concerning the solvency of the company to be taken over.

Module 4 - Preparing for the bank interview
When the prospective buyer has carried out a complete analysis of the business to be taken over, both strategically and financially, he will seek funding around him in order to achieve it.

Meeting with a banker is not always easy to envisage and can create stress on the part of the applicant. In order to maximize your chances of obtaining the coveted bank loan, it is important to understand the elements that are preponderant on the banker's side. The purpose of this module is to break down the banker's thought process in order to properly prepare the buyer.
