What distinguishes the franchise agreement from the trademark license agreement is not always clear. If you are preparing to be licensed or franchised in Luxembourg, or to create your own franchise, know that the Grand Duchy does not have a specific legislation on franchising ... which gives flexibility but requires to put in place an adequate legal framework.
This flexibility does not exempt the drafter of the franchise agreement from applying the general provisions applicable to contract law, competition law and company law.
